These Terms of Service ("Terms") govern your access to and use of the TheRover AI website at therover.ai (the "Site"), the Rover application and related services (collectively, the "Service"), and any registration of interest in the Rover app. The Service is provided by Utopia Global Ventures FZ-LLC, a company registered in Dubai, United Arab Emirates ("Rover", "we", "us", or "our").
Please read these Terms carefully. By accessing the Site, registering your interest, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old and have the legal capacity to enter into a binding contract to use the Service. If you are using the Service on behalf of a company or other organisation, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you and that entity.
2. Waitlist registration
The Rover app is currently in development. By registering your interest, you ask us to notify you when the Rover app becomes available. Registration does not create any contractual right to receive the app, any pricing, or any specific feature. We may close the waitlist, change product plans, or decline to offer the Service to any individual at our discretion.
You agree to provide accurate, current, and complete information during registration and to keep that information up to date. We reserve the right to suspend or remove waitlist entries that appear to be fraudulent, automated, or otherwise abusive.
3. Acceptable use
You agree not to, and not to allow any third party to:
- use the Service in violation of applicable law, regulation, or third-party rights;
- copy, modify, distribute, sell, sublicense, or create derivative works of the Service or any of its content, except as expressly permitted;
- reverse-engineer, decompile, or attempt to extract the source code of the Service;
- upload or transmit any material that is unlawful, defamatory, infringing, harmful, or otherwise objectionable;
- use any robot, scraper, or other automated means to access or interact with the Service except as permitted by our published interfaces;
- interfere with, disrupt, or attempt to gain unauthorised access to the Service, our infrastructure, or any user account;
- circumvent any rate limit, quota, security mechanism, or technical access control;
- misrepresent your identity, affiliation, or origin in connection with the Service.
4. Intellectual property
The Service, including all software, designs, text, graphics, logos, and other content, is owned by Rover or its licensors and is protected by copyright, trademark, and other laws of the United Arab Emirates and other countries. We grant you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site for your personal or internal business evaluation, subject to these Terms. No other rights are granted, and all rights not expressly granted are reserved.
"TheRover", "Rover", "Utopia GV", and related logos are trademarks of Utopia Global Ventures FZ-LLC. You may not use these marks without our prior written consent.
5. Engineering disclaimer
Rover is an AI-powered engineering assistant. Outputs — including but not limited to bills of quantity, technical documentation, PLC code, ladder logic, function blocks, recommended components, and migration plans — are generated suggestions. They must be reviewed, validated, and signed off by a qualified professional engineer prior to deployment, commissioning, procurement, or any safety-critical use.
You are solely responsible for verifying the suitability, safety, and compliance of any output before it is used in a real-world environment. Rover does not assume the role of a licensed engineer of record, and nothing in the Service replaces independent engineering judgement, applicable codes and standards, or jurisdictional approvals.
6. Third-party services
The Service may rely on or interoperate with third-party software, hardware, and services (including, without limitation, vendor PLC platforms and component databases). We do not control these third parties and are not responsible for their content, availability, accuracy, or terms. Your use of any third-party service is governed by that third party's own terms.
7. Beta and pre-release features
Some features of the Service may be designated as alpha, beta, preview, early-access, or pre-release ("Beta Features"). Beta Features are provided "as is" and may be incomplete, unstable, or changed or discontinued at any time without notice. Use of Beta Features is at your sole risk.
8. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ANY OUTPUT WILL MEET YOUR REQUIREMENTS.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ROVER, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE — WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN ANY EVENT, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD 100).
10. Indemnity
You agree to defend, indemnify, and hold harmless Rover and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with: (a) your use of the Service in violation of these Terms; (b) your violation of any law or third-party right; or (c) any content you submit, post, or transmit through the Service.
11. Suspension and termination
We may suspend or terminate your access to the Service at any time, with or without notice, including for any breach of these Terms or where we reasonably believe such action is necessary to protect Rover, our users, or any third party. Sections of these Terms that by their nature should survive termination (including, without limitation, intellectual property, disclaimers, limitation of liability, indemnity, and governing law) will survive.
12. Changes to the Service or these Terms
We may modify the Service at any time, including adding, removing, or changing features. We may also update these Terms from time to time. When we make material changes, we will revise the "Last updated" date at the top of this page and, where appropriate, give you reasonable advance notice. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
13. Governing law and disputes
These Terms and any dispute arising out of or in connection with them or the Service are governed by the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates, without regard to conflict-of-law principles. The competent courts of Dubai, United Arab Emirates, shall have exclusive jurisdiction to settle any such dispute, except that we reserve the right to bring proceedings against you for breach of these Terms in your country of residence or any other relevant jurisdiction.
14. Miscellaneous
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Rover regarding the Service. If any provision is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so. You may not assign these Terms without our prior written consent; we may assign them without restriction. Headings are for convenience only and do not affect interpretation.
